대한민국, 서울 – 앨리슨 트랜스미션은 오늘 애쉬 캐피탈 매니지먼트(Ashe Capital Management)가 보유하고 있던 자사의 보통주 4,977,043주를 1주당 46.70달러에 매입 했다고 밝혔다. 앨리슨 트랜스미션인 이번 자사주 매입에 투자한 금액은 약 2억 3,200만달러이다.
이번 인수 가격은 애쉬 캐피탈 측과의 주식 매매 계약에 따라 2019년 5월 6일 종가 기준으로 정해졌다. 이번 개래로 애쉬 캐피탈이 보유한 앨리슨 트랜스미션의 보통주는 약 4.1%로 조정 됐다. 또, 애쉬 캐피탈 측 이사회 멤버였던 윌리엄 R. 하커는 거래 종결 후 이사회에서 사임했다.
윌리엄 R. 하커는 "2013년 10월 앨리슨에 처음 투자한 이후로 꾸준히 경영진들과 건설적인 관계를 맺어왔다"며 "앞으로도 앨리슨 트랜스미션이 견실한 성장세를 이어가기 바란다”고 말했다.
로렌스 듀이 앨리슨 이사회 회장은 "하커는 재임 기간 동안 앨리슨의 비즈니스를 위해 함께 고민하는 등 이사회의 소중한 일원으로 역할을 다해왔다"며 "애쉬 캐피탈의 헌신을 진심으로 감사하게 생각한다"고 말했다.
자사주재매입 승인
앨리슨 트랜스미션은 이사회에서 자사주 재매입 프로그램에 따라 10억 달러(약 1조 1895억원) 상당의 자사주 추가 재매입을 승인했다. 앨리슨 트랜스미션이 자사주 재매입으로 투자할 수 있는 금액은 총 30억 달러 (약 3조 5686억원)에 이르게 됐다.
앨리슨 트랜스미션은 향후 공개 시장, 비공개 협상 거래 및 기타 방식으로 자사주를 추가 매입할 예정이며, 재매입의 규모와 시기는 시장 상황 등에 따라 결정될 예정이다. 공개 시장 재매입은 규정 10b-18에 명시된 가격과 규모 내에서 진행된다. 또한 앨리슨은 이번 승인에 따른 재매입을 위해, 경우에 따라 규칙 10b5-1 계획을 도입할 수 있다. 앨리슨은 이 자사주 재매입 프로그램을 통해 특정 금액의 보통주를 매입할 의무가 없으며, 프로그램은 회사 재량에 따라 언제든지 연장, 수정, 보류 또는 중단 될 수 있다.
배당금
이달 9일 앨리슨 트랜스미션 이사회는 2019년 2분기 현금 배당금을 신고했다. 배당금은 보통주당 0.15달러이다. 이는 2019년 5월 20일 업무종료시간을 기준으로 기록상 주주에게 2019년 5월 31일 지급된다.
차후 배당금은 이사회 재량에 따라 지급되며 앨리슨의 재무 상태, 운영 성과, 사용 가능한 현금, 현금흐름, 필요 자본량 및 이사회가 규정한 기타 관련 요소들에 따라 결정된다.
